These Terms of Service ("Terms") govern access to and use of Talkalize, a SaaS platform operated by Talkalize SDN. BHD. ("Talkalize", "we", "us", or "our") from Malaysia. Talkalize helps businesses manage customer conversations, notifications, templates, campaigns, automation, analytics, and customer support through integrations with the official WhatsApp Business Platform and Meta APIs.
These Terms are written for general use and should receive final review and approval by qualified Malaysian legal counsel before they are relied on as the company’s final legal terms.
1. Acceptance
By creating an account, accepting an order or subscription, or accessing or using Talkalize, you agree to these Terms and the Privacy Policy. If you do not agree, do not access or use the service. If you use Talkalize for a business, you accept these Terms on behalf of that business and confirm that you have authority to bind it.
2. Eligibility and authorized use
Talkalize is intended for businesses and their authorized personnel. You must be legally able to enter into these Terms and must use the service only for a legitimate business purpose. You are responsible for ensuring that your employees, contractors, agents, and other users comply with these Terms.
3. Accounts and security
You must provide accurate, current, and complete registration and business information and keep it updated. Keep credentials, access tokens, connected accounts, and devices secure; do not share credentials except through authorized account roles. You are responsible for activity under your account and must promptly notify us of suspected unauthorized access, compromised credentials, or security incidents.
4. The service
Talkalize provides software tools for customer communication workflows, including shared conversations, notifications, message templates, campaigns, automation, analytics, customer support, account administration, and related integrations. Features, limits, documentation, and availability may change as the service develops. Talkalize does not replace your responsibility to review and supervise your communications, automations, and account permissions.
5. Customer information and messaging responsibilities
You are responsible for the accuracy, legality, and appropriateness of information submitted to Talkalize, including business details, uploaded contacts, phone numbers, media, templates, campaigns, automation rules, and message content. Before sending messages, you must obtain and maintain valid opt-ins and any other permissions required by applicable law from the relevant contacts. You must maintain lawful, accurate, and appropriately managed contact lists and honor opt-outs, requests, and communication preferences.
You must comply with applicable privacy, marketing, consumer-protection, telecommunications, and other laws. You must also comply with Meta’s and WhatsApp Business’s terms, policies, commerce and messaging requirements, template rules, quality standards, and other applicable platform requirements. You are responsible for notices, consents, records, disclosures, and responses required for your use of customer data and messaging.
6. Prohibited conduct
You must not use Talkalize to:
- send spam, unsolicited messages, deceptive content, fraudulent communications, or unlawful promotions;
- harass, threaten, abuse, exploit, impersonate, or unlawfully surveil people;
- submit or distribute illegal, defamatory, discriminatory, harmful, malicious, or infringing content;
- gain unauthorized access, probe or disrupt systems, transmit malware, or interfere with the service;
- violate Meta, WhatsApp Business, or other third-party platform requirements; or
- bypass or attempt to bypass restrictions, suspensions, rate limits, quality controls, or enforcement imposed by Talkalize, Meta, or WhatsApp.
7. Fees, billing, and taxes
You agree to pay the subscription fees, usage charges, applicable WhatsApp or Meta fees, and other charges presented for your selected plan or usage. Prices, billing cycles, included allowances, and overage rules will be described in the applicable order, plan, or account interface. You authorize the applicable payment provider to process charges and must keep billing information current. Unless stated otherwise, fees are exclusive of applicable taxes, duties, or similar charges, which you are responsible for.
Subscriptions may renew according to the plan or order terms until canceled. A free trial or promotional period, if offered, may have separate conditions and may end or convert to a paid plan as disclosed when it is offered. You may cancel through the available account or support process; cancellation generally applies at the end of the current paid period unless the applicable order states otherwise. Non-payment may result in restricted or suspended access.
8. Availability and third-party dependencies
We aim to operate a useful and reliable service, but Talkalize may be unavailable or delayed because of maintenance, upgrades, security events, internet or infrastructure issues, or events outside our reasonable control. Talkalize depends on Meta, WhatsApp Business Platform, telecommunications networks, hosting providers, payment processors, and other third parties. Changes, outages, limits, errors, or enforcement actions by those providers may affect the service, and we do not control their systems or policies.
9. Suspension and termination
We may suspend, restrict, or terminate access where reasonably necessary for policy violations, suspected abuse or fraud, non-payment, security threats, legal requirements, risk to users or third parties, or action by Meta or WhatsApp. We may also terminate or discontinue the service in accordance with applicable order terms or by providing notice where appropriate. You may stop using Talkalize or cancel your account through the available process.
On termination, your right to use the service ends. We may disable access and handle account data as described in the Privacy Policy and applicable order terms. Sections that by their nature should continue, including payment obligations, intellectual property, confidentiality, disclaimers, liability limits, indemnification, and dispute provisions, will survive termination to the extent permitted by law.
10. Intellectual property
We and our licensors retain all rights in Talkalize, including its software, interfaces, documentation, branding, features, and underlying technology. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service during your authorized subscription or access period. You must not copy, resell, reverse engineer, or create derivative works from the service except where applicable law does not allow that restriction.
You retain ownership of your business data, customer data, content, templates, media, and materials submitted to Talkalize. You grant us the limited rights needed to host, process, transmit, display, and otherwise use that data to provide, secure, support, and improve the service, as described in these Terms and the Privacy Policy.
11. Confidentiality and data protection
Each party should protect non-public information received from the other party and use it only for the relevant business relationship, subject to disclosures required by law. Our handling of personal information is described in the Privacy Policy. You remain responsible for your role as a business or data controller where applicable, including providing required notices and responding to requests from your customers or users.
12. Third-party services and integrations
Talkalize may enable connections to Meta, WhatsApp Business, payment services, hosting services, analytics tools, or other third-party services. Your use of those services is also subject to their terms and policies. We are not responsible for third-party services that we do not control, and a third party may change or withdraw an integration.
13. Disclaimers
To the extent permitted by law, Talkalize is provided on an “as available” and “as is” basis. We do not promise that the service will be uninterrupted, error-free, or suitable for every business need, or that messages will be delivered, read, or accepted by a recipient or third-party platform. You should evaluate the service for your intended use and maintain appropriate backups, reviews, permissions, and business continuity measures. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
14. Limitation of liability
To the extent permitted by applicable law, Talkalize and its officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of profits, revenue, goodwill, business opportunity, or data arising from or related to the service. To the extent permitted by law, Talkalize’s total liability for claims arising from the service will be limited to the fees paid or payable by you for the Talkalize service during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.
15. Indemnification
To the extent legally permitted, you agree to defend, indemnify, and hold harmless Talkalize and its officers, employees, and service providers from claims, losses, liabilities, costs, and reasonable expenses arising from your breach of these Terms, your content or instructions, your messaging practices or contact lists, your violation of law or third-party rights, or your misuse of the service. We will provide reasonable notice of a covered claim and may participate in its defense.
16. Changes
We may change Talkalize, these Terms, pricing, features, or documentation from time to time. We will post revised Terms on this page and update the dates above. Where required, we will provide additional notice. Continued use after revised Terms become effective means you accept them; if you do not agree, stop using the service and cancel your account.
17. Governing law and jurisdiction
These Terms are intended to be governed by the laws of Malaysia, subject to final legal review and any mandatory rights or rules that apply to you. Subject to applicable law, the courts of Malaysia will have jurisdiction over disputes arising from or relating to these Terms or Talkalize.
